Loaning oneself an interest-bearing loan
Question
Assalamu Alaykum Respected Mufti Saheb,
If a sole-director is running his business using a limited company structure (in the UK) with no other shareholders or directors and he then loans money to his own limited company, charging the company interest at a fixed rate each year, will this be permissible? Even though he is charging the company interest, in reality he and the company are the same person. The company is only a separte entity in legal terms. Will this loan agreement between himself and his own company be permissible? This sort of arrangement is common in large corporations as a director can withdraw money from his company in this manner tax free.

As-salāmu ‘alaykum wa-rahmatullāhi wa-barakātuh.
Limited liability is a method of securing oneself from bearing losses greater than the initial capital invested. It is a method of securing one’s personal assets. A limited liability company is sometimes considered as a Juridical person i.e. it has the status of a separate entity.
Personal businesses wherein no more than one party (the principal owner) is affected by the business will not generally be considered to be Juridical persons unless there appears a strong need to do so.[1] Therefore, the director and the company itself will be considered to be one and the same person in this scenario.
The definition of interest according to Shariah is that the creditor charges the debtor excess of the amount lent.
When the director loans his company some funds on interest, it outwardly appears to be a normal interest-bearing loan and hence, Haram. However, since the director is the company and the company is the director, it is akin to paying/loaning monies to oneself. Therefore, this scenario will not fall under the Shar’i definition of interest.
Accordingly, the scenario in reference will be permissible.[2]
However, it should be noted that in the event the director sells his company, partially or fully, he will first be required to close the loans between himself and the company. If the sale is made and the loan is transferred to a third party, it will turn into a normal interest-bearing loan and will become impermissible.

قال - رحمه الله -: وليس بين المولى وعبده ربا لقوله - صلى الله عليه وسلم - «لا ربا بين العبد وسيده؛»، ولأن هذا ليس ببيع؛ لأن كسب العبد لمولاه، والبيع: مبادلة ملك بملك غيره فأما جعل بعض ماله في بعض فلا يكون بيعا، فإن كان على العبد دين فليس بينهما ربا أيضا، ولكن على المولى أن يرد ما أخذه على العبد؛ لأن كسبه مشغول بحق غرمائه، ولا يسلم له ما لم يفرغ من دينه، كما لو أخذه لا بجهة العقد، وسواء كان اشترى منه درهما بدرهمين، أو درهمين بدرهم؛ لأن ما أعطى ليس بعوض سواء كان أقل، أو أكثر فعليه رد ما قبض لحق الغرماء

قوله (ولا ربا بين المولى وعبده) لأنه، وما في يده ملكه أطلقه وهو مقيد بما إذا لم يكن عليه دين مستغرق لرقبته وكسبه، وأما إذا كان مستغرقا فيجري الربا بينهما اتفاقا لعدم الملك عنده للمولى في كسبه كالمكاتب، وعندهما لتعلق حق الغير، والتحقيق أنه على إطلاقه، ولا ربا بينهما، وإن كان مديونا مستغرقا، وإنما يرد الزائد لتعلق حق الغرماء به كما لو أخذ منه شيئا بغير عقد كذا في المعراج، ولو كان عليه دين غير مستغرق فلا ربا، وفي مأذون المحيط إذا أخذ المولى من كسب المأذون شيئا ثم لحقه دين سلم للمولى ما أخذ، وإن كان عليه يوم الأخذ ولو قليلا لم يسلم، وفائدته لو لحقه آخر رد المولى جميع ما أخذه بخلاف ما إذا أخذ منه ضريبة، وليس عليه دين فإنها تسلم له استحسانا، والمدبر وأم الولد كالعبد بخلاف المكاتب
وأشار المصنف إلى أنه لا ربا بين المتفاوضين، وشريكي العنان إذا تبايعا من مال الشركة وإن كان من غيره جرى بينهما

(ولا ربا بين المولى وعبده) : لأن العبد وما في يده ملك لمولاه فلا يتحقق الربا، (ولا بين المسلم والحربي في دار الحرب) ، لأن مالهم مباح في دارهم؛ فبأي طريق أخذه المسلم مالا مباحاً إذا لم يكن فيه غدر. بخلاف المستأمن منهم، لأن ماله صار محظوراً بعقد الأمان. هداية
