Are these conditions permissible on this Mudarabah contract?

Question

Assalamualikum. My dad is always doing business. And he’s always dealing with a lot of different people. He wanted me to take part on this recent contract that was made, to speak and make things clear on his behalf. So this is how it works

My dad has two partners he decided to do business with. My dad is putting 100k towards his business venture. The other two partners put no capital. Everyone mutually decides to share the net profits.

50 percent will be for my dad , and 25 percent each for the other two

Although my dad is the only one who invested money, he will also work with his two partners part time. Everyone on this contract will share the loss. The loss of the 2partners will be deducted from the profit.

purchasing the goods for the business will be payed out by all three members.

Are these conditions permissible  on this contract?  Jaiz?

As-salaamu ‘alaykum wa-rahmatullaahi wa-barakaatuh

Brother in Islām,

According to your explanation, the father contributes investment capital to the partnership while the other two partners contribute their management skills. This transaction could be made into a valid mudārabah contract.[1]

Mudarabah is wherein one partner contributes investment capital to the partnership while the other partners contribute management skills. The investor is referred to as the rabb ul-maal while the entrepreneurs are referred to as the mudharib.

In a mudarabah partnership, a fixed profit ratio/percentage may be fixed. For example, the father receives 50% of the profits while the other two partners receive 25% of the profits. However, a fixed amount cannot be fixed nor can a percentage be based on capital investment. All expenses will be paid from the profit and the balance will then be distributed as per agreement.

In the enquired situation, the investment is the sole responsibility of rabb-ul-maal. The rabb-ul-maal has no right to participate in the management which is carried out by both the mudarib. Therefore, the loss is suffered by the rabb-ul-maal only, as both the mudarib did not invest anything. They will merely lose their efforts in managing the mudharabah portfolio. This part seems to be missing in your father’s contract.

The above condition is subject to the fact that the mudharib has worked with due diligence. If it is proven that, he has breached his obligations or he failed to discharge his obligations under this agreement, then the mudharib will be liable for the loss of the mudharabah.[2]

Moreover, all the goods purchased for the business from the two mudarib is not a valid condition in the contract. The rabb-ul-maal is in charge of this payment and he is the complete owner of these goods. Thereafter, the two mudarib will purchase the goods on behalf of the rabb-ul-maal.[3]

(وَمِنْهَا) أَنْ يَكُونَ الْمَشْرُوطُ لِكُلِّ وَاحِدٍ مِنْهُمَا مِنْ الْمُضَارِبِ وَرَبِّ الْمَالِ مِنْ الرِّبْحِ جُزْءًا شَائِعًا، نِصْفًا أَوْ ثُلُثًا أَوْ رُبْعًا، فَإِنْ شَرَطَا عَدَدًا مُقَدَّرًا بِأَنْ شَرَطَا أَنْ يَكُونَ لِأَحَدِهِمَا مِائَةُ دِرْهَمٍ مِنْ الرِّبْحِ أَوْ أَقَلُّ أَوْ أَكْثَرُ وَالْبَاقِي لِلْآخَرِ لَا يَجُوزُ، وَالْمُضَارَبَةُ فَاسِدَةٌ؛ لِأَنَّ الْمُضَارَبَةَ نَوْعٌ مِنْ الشَّرِكَةِ، وَهِيَ الشَّرِكَةُ فِي الرِّبْحِ، وَهَذَا شَرْطٌ يُوجِبُ قَطْعَ الشَّرِكَةِ فِي الرِّبْحِ؛ لِجَوَازِ أَنْ لَا يَرْبَحَ الْمُضَارِبُ إلَّا هَذَا الْقَدْرَ الْمَذْكُورَ، فَيَكُونُ ذَلِكَ لِأَحَدِهِمَا دُونَ الْآخَرِ،

فَلَا تَتَحَقَّقُ الشَّرِكَةُ، فَلَا يَكُونُ التَّصَرُّفُ مُضَارَبَةً،
