Wakaalah and Simsaar - Is it permissible in this scenario?
Question
assalamu alaikum hazrat mufti saab....
Maaf I cannot come to see you personally as I am in jamaat at the moment.... I need some advice
we supply some goods to chain stores via a company called STI... (this company belongs to someone else) we import goods via a company called ibrograf.
because the amounts are high, we raise trade finance from investors...
so basically, how it works is we approach investor and he makes my brother in law an agent to bring goods on his behalf to supply onwards.
we initially did it on 4 months cycle with profit of 6%. so, we would bring down goods to value invested and supply onwards at 6% mark up to STI. then after 4 months we return money invested plus profits to investor.
our share of profit comes from a profit-sharing agreement with STI
example: investor invested 1 million. we bring down goods to value of 1mil and supply to STI at 1mil + 6%. (this portion goes to investor).
STI then sells goods at 1.2 mill. they share the profit of 1.2mil less cost of goods (1mil + 6%) with us
because the business is flowing all the time, we decided that we need investors for a year instead of 4 months and goods need to be supplied throughout the year. the investor needs 18% per annum so came up with below contract. The contract has been attached separately.

As-salāmu ‘alaykum wa-rahmatullāhi wa-barakātuh.
There are two aspects to the transaction in reference.
1. The Wakaalah agreement between your brother-in-law and the investor.
2. The profit-sharing agreement between you (and your brother-in-law) and STI company.
The Wakaalah agreement as described on the document provided is Shari’ah compliant.[1]
We do not understand the nature of the profit-sharing agreement between yourself and STI. There are few ambiguities in the profit-sharing agreement. It would be best to meet to discuss this.
